These Wizcart Service Partner Terms of Use (the "Terms" or this "Agreement") form a legally binding contract between you ("you," "Service Partner," or "Partner") and Wizcart Technologies Inc. and its affiliates ("Wizcart," "we," "us," or "our") governing your access to and use of Wizcart's websites, apps, and related services, communications, and tools (collectively, the "Platform").
Your submission of personal data to or through the Platform is governed by the Wizcart Privacy Policy (the "Privacy Policy"), incorporated by reference. Additional policies referenced within these Terms are also incorporated (collectively with these Terms, the "Agreement").
FOR U.S. AND CANADIAN PARTNERS: THE ARBITRATION AND CLASS-ACTION WAIVER PROVISIONS IN SECTION 25 APPLY. THEY REQUIRE INDIVIDUAL (NON-CLASS) ARBITRATION, WITH A LIMITED RIGHT TO OPT OUT. PLEASE READ CAREFULLY.
BY CREATING AN ACCOUNT OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE LEGALLY BOUND BY THE AGREEMENT. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM.
The Platform is a two-sided marketplace that enables individuals and businesses seeking services ("Users") to discover, request, and book services from independent providers like you ("Service Partners"). Services may include personal, wellness, home, or other on-demand offerings (collectively, "Services").
Wizcart operates solely as a software facilitator and payment processing intermediary. Wizcart is not a Service Partner, employer, agent, joint venturer, insurer, principal, or professional advisor of you or any User.
Wizcart does not perform, supervise, direct, control, or monitor your Services; does not set your hours, locations, or methods; does not determine the manner or means by which you perform your Services; and does not supply your tools or pay your business expenses.
Any agreement to perform Services is between you and the User (a "Service Agreement"). Wizcart is not a party to any Service Agreement and assumes no responsibility for the quality, timing, legality, safety, or any other aspect of Services or for acts or omissions of Users or Partners.
You operate as an independent contractor and independent business—not an employee, agent, franchisee, dependent contractor, or partner of Wizcart. You control when, where, how, and whether to accept engagements, your tools, and your pricing. Wizcart's Platform provides tools to facilitate your business operations, but such tools do not limit or direct your independent business judgment regarding pricing, scheduling, or service delivery methods.
You are solely responsible for your taxes, registrations, licenses, insurance, workers, subcontractors, and compliance with applicable law.
You are free to, and are encouraged to, offer your Services through any other platform, marketplace, website, or directly to customers. Nothing in this Agreement restricts your right to engage with competing platforms, accept engagements through other channels, or maintain an independent client base. Wizcart does not require exclusivity of any kind.
You represent and warrant that you:
Because Services offered through the Platform may involve in-person attendance at Users' private residences or premises (including, without limitation, babysitting, pet sitting, locksmithing, and home salon services), Wizcart maintains a marketplace-wide trust and safety requirement that all Service Partners complete identity and criminal background verification prior to being granted active status on the Platform.
(a) Provider Verification. As a condition of Platform access, you must complete a criminal background check and identity verification through Wizcart's designated third-party verification service provider. The cost of this verification is your responsibility as a business expense. This requirement exists solely as a marketplace trust and safety measure to protect Users, and does not constitute employment screening, hiring, or any form of employer-employee vetting by Wizcart.
(b) Assistants & Personnel. If you use Assistants or subcontractors (as permitted under Section 5), you are solely responsible for ensuring that each individual who performs Services under your account has completed the required background verification and meets all applicable trust, safety, and legal requirements. The cost of verification for your Assistants and personnel is your responsibility. Wizcart does not manage, supervise, or control your hiring or personnel decisions — you determine who works for your business.
(c) No Guarantee. Wizcart facilitates access to third-party background verification services but does not conduct the verification itself, does not guarantee the accuracy or completeness of any background information, and has no duty to independently screen any User or Partner. Completion of background verification does not constitute Wizcart's endorsement, certification, or approval of any Service Partner.
(d) Ongoing Compliance. You are solely responsible for maintaining compliance with all applicable laws regarding background checks, licensing, and professional qualifications in the jurisdictions where you operate.
You must register an account and keep your login credentials confidential. You are responsible for all activities under your account. Notify us promptly of any suspected unauthorized use.
You agree to act professionally and responsibly, maintain accurate availability and listings, communicate clearly, honour the timing commitments you make in your Service Agreements with Users, and perform Services safely.
Wizcart recommends conducting booking-related communications on-Platform to enable accurate record-keeping and facilitate dispute resolution. However, you are free to communicate with Users through any means as part of your independent business operations.
You will not: misuse the Platform; scrape, copy, or reverse-engineer; interfere with security; post unlawful, defamatory, or obscene content; or infringe third-party rights.
Subject to your compliance with the Agreement, Wizcart grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform solely to market and deliver your Services. Wizcart and its licensors own all rights in the Platform (including software, content, look and feel, trademarks, and branding). No rights are granted except as expressly stated.
When a User selects you and a booking is confirmed via the Platform, you and the User form a Service Agreement consisting of the details confirmed in-app (and any additional lawful terms you and the User agree in Platform messaging). You are solely responsible for exercising your own business judgment in entering and performing Service Agreements and accept the risk of profit or loss.
You may use registered assistants or subcontractors ("Assistants") only if: (a) the User consents in-Platform prior to the Service; (b) all Assistants meet these Terms' requirements; and (c) you remain fully responsible for their acts and omissions, payments, taxes, and compliance.
Payments are processed through Stripe Connect or another payment service provider ("PSP"). By using the Platform, you authorize Wizcart and the PSP to process payments, issue receipts, and remit your payouts ("Payouts") to your connected account.
You set your own pricing for your Services. When a transaction is completed, the revenue is shared as follows:
This commission structure reflects an arm's-length commercial arrangement between Wizcart (as a technology and marketplace service provider) and you (as an independent business). You control your pricing and may adjust your service rates at any time to achieve your desired net earnings after the platform commission.
The current commission rate is disclosed in your Partner dashboard and may be updated in accordance with Section 23.
Payouts to your verified bank account are processed by our payment service provider, Stripe. Stripe charges a standard payout fee (currently $0.25 CAD per payout) which is deducted from your Payout amount. This is a third-party fee charged by Stripe, not by Wizcart. Wizcart does not receive any portion of this fee. Payout fee amounts are subject to change by Stripe and will be reflected in your transaction statements.
As an independent business, you bear your own payment processing costs, consistent with standard commercial practice.
Wizcart may deduct from your Payouts: (a) the platform commission described in Section 6.2; (b) the third-party payout fee described in Section 6.3; (c) taxes Wizcart is legally required to collect or remit; (d) chargebacks; (e) amounts refunded to Users under the Cancellation & Refund Policy; and (f) corrections to processing errors.
Wizcart may provide transaction statements. You must notify Wizcart in writing of any payout error within thirty (30) days of the statement; otherwise, the statement is deemed accepted. Wizcart may correct errors by offsetting against future Payouts.
You are solely responsible for assessing, collecting (where applicable), reporting, and remitting all taxes (including income tax, GST, HST, PST, QST, VAT, social contributions, and any other applicable taxes) related to your Services, except where Wizcart is legally required to collect or remit taxes on transactions it processes.
(a) Registration Obligation. You are solely responsible for registering for, collecting, and remitting all applicable sales taxes (including GST, HST, PST, and QST). If you are registered or required to be registered for GST/HST or any applicable provincial sales tax, you must provide Wizcart with a valid tax identification number (e.g., GST/HST Business Number) through your account settings. Should your tax identification number change, it is your sole responsibility to update it promptly. Failure to provide or update your tax identification number is your liability, not Wizcart's.
(b) Small Supplier Threshold Monitoring. If your gross revenue processed through the Platform exceeds the Canada Revenue Agency's small supplier threshold (currently $30,000 in any single calendar quarter or in four consecutive calendar quarters), Wizcart reserves the right to suspend your account until you provide a valid GST/HST registration number. This measure is in place to protect both parties from tax non-compliance liability.
(c) Multi-Income Source Disclaimer. Wizcart does not have visibility into your income from other sources, including other platforms, employment, or business activities. You are solely responsible for determining whether your aggregate revenue from all sources triggers a tax registration obligation, and for seeking independent professional tax advice where appropriate. Wizcart is not a tax advisor and does not provide guidance regarding your tax obligations.
(d) Tax Collection & Remittance. Once a valid GST/HST/PST/QST number is provided, applicable taxes will be calculated and collected from Users at the point of transaction, and reported or remitted in accordance with applicable law. You remain responsible for your own tax filings and remittances for any amounts not processed through the Platform.
(e) Tax Indemnification. You shall indemnify and hold harmless Wizcart from any penalties, assessments, interest, or liabilities arising from your failure to register for, collect, or remit applicable taxes, or from providing inaccurate or incomplete tax identification information.
The quality, fitness, safety, and legality of the Services you provide are solely your responsibility. Wizcart does not supervise, inspect, direct, evaluate, or manage the quality of your work. You are an independent business and must maintain your own quality standards, training, and customer service practices.
If a User is dissatisfied with the quality or outcome of a Service, you and the User should first attempt to resolve the matter directly between yourselves. Wizcart is not a party to Service Agreements and does not act as a supervisor, quality inspector, or performance manager.
If a User contacts Wizcart regarding a dispute that could not be resolved directly with you, Wizcart may, solely in its capacity as a payment facilitation and platform administration service, review available information, which may include in-app chat logs and, where applicable, before-and-after images submitted by either party.
Based on this review, Wizcart may take the following actions solely to administer its payment facilitation and platform integrity functions:
For clarity: Any action taken by Wizcart under this Section is a payment processing and platform administration function. It does not constitute performance evaluation, quality assessment, disciplinary action, or any form of employment-related management. Wizcart does not instruct you on how to perform your Services and does not set quality standards for your independent business.
Nothing in this Section limits either party's right to pursue any available legal remedies. Service quality disputes are ultimately between you and the User, and you bear all legal and financial responsibility for the Services you provide.
The Platform facilitates cancellations and refunds in accordance with Wizcart's then-current Cancellation & Refund Policy. This policy governs the processing of refunds as a payment facilitation function and does not constitute Wizcart exercising control over your business operations or Service Agreements.
If a refund is issued to a User, or a chargeback is incurred, you authorize Wizcart to deduct the corresponding amounts and any PSP fees from your future Payouts or to invoice you.
The Platform may include ratings, reviews, profiles, and community features ("Public Areas"). Wizcart is not responsible for and does not guarantee the accuracy of content posted by Users.
Ratings and reviews are informational tools provided to Users to facilitate their independent purchasing decisions. They are not used by Wizcart as a performance management, supervisory, or disciplinary mechanism.
Wizcart reserves the right to take action on accounts solely where there is objective evidence of fraud, verified safety risks to Users or the public, breach of this Agreement, or illegal activity, as described in Section 15.
You will:
Wizcart does not provide insurance, tools, equipment, or any benefits to you. You are solely responsible for obtaining and maintaining your own workers' compensation coverage where required by applicable law.
Wizcart is not a party to and does not mediate disputes between Users and Partners. In its capacity as payment processor and Platform operator, Wizcart may process refunds consistent with its published Cancellation & Refund Policy and applicable payment processing rules, as further described in Sections 7 and 8. Such actions are taken solely in Wizcart's capacity as a technology and payment facilitation service provider.
All substantive disputes regarding the quality, timing, or nature of Services are between you and the User.
You are solely responsible for content you submit to the Platform ("UGC"). You grant Wizcart a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to host, use, reproduce, modify, and display UGC for operating, improving, and promoting the Platform. You represent you have all rights necessary; your UGC will not be unlawful, infringing, defamatory, deceptive, or harmful; and you irrevocably waive any moral rights to the extent permitted by law. Wizcart may remove UGC that violates the Agreement.
Feedback (e.g., reviews, suggestions) may be used by Wizcart without restriction and without compensation.
Third-party websites, services, or integrations (e.g., maps, messaging, PSPs) are not controlled by Wizcart. You use them at your own risk and are subject to their terms and privacy policies.
If you believe content on the Platform infringes your copyright, send a compliant notice to Wizcart's DMCA Agent:

Include the information required by 17 U.S.C. §512(c)(3). Knowingly false notices may incur liability.
Wizcart may suspend, limit, or deactivate your access to the Platform for material breach of this Agreement, including:
Except where immediate action is required to address fraud, imminent safety risks, or legal compliance (in which case Wizcart may act immediately and will provide reasons as soon as practicable), Wizcart will provide you with at least fourteen (14) days' prior written notice and a written explanation of the reason(s) for deactivation. During the notice period, you may continue to fulfil existing bookings.
You may terminate this Agreement at any time by deactivating your account and ceasing use of the Platform.
Sections that by their nature should survive termination shall survive, including payment obligations, intellectual property, indemnities, disclaimers, limitations of liability, arbitration, and governing law.
You have no authority to bind Wizcart or make representations on its behalf. Do not hold yourself out as an employee, agent, dependent contractor, or representative of Wizcart.
Use of the Platform is subject to the Privacy Policy. Where permitted by law, you consent to receive operational emails, in-app messages, and SMS related to bookings, account status, security, and updates. You may opt out of certain marketing communications as described in the Privacy Policy, but operational messages are necessary to use the Platform.
You agree to transact electronically; your clicks, taps, or typed names constitute your electronic signature with the same legal effect as a handwritten signature, and electronic notices and records satisfy "in writing" requirements.
From time to time Wizcart may offer promotional codes or programs. These are discretionary, subject to separate terms, and may be modified, limited, or discontinued at any time.
YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WIZCART DISCLAIMS ALL WARRANTIES (EXPRESS, IMPLIED, OR STATUTORY), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WIZCART DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THE ACCURACY OF CONTENT, REVIEWS, OR PROFILES.
Some jurisdictions (including certain Canadian provinces) do not allow certain disclaimers; to that extent, this Section does not deprive you of mandatory statutory rights.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIZCART AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS (THE "WIZCART PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION; OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO THE PLATFORM, SERVICES, OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY.
IN ALL EVENTS, THE TOTAL AGGREGATE LIABILITY OF THE WIZCART PARTIES FOR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL PLATFORM FEES RETAINED BY WIZCART FROM YOUR TRANSACTIONS IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in this Agreement excludes liability that cannot be excluded under applicable law (e.g., for death or personal injury caused by negligence in jurisdictions where such limitation is prohibited).
You will defend, indemnify, and hold harmless the Wizcart Parties from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:
Wizcart may assume exclusive defense and control; you will cooperate fully.
We may update the Platform or these Terms from time to time. Material changes will be notified by reasonable means (e.g., in-app notice or email) and become effective upon posting or on the stated effective date. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Platform and deactivate your account.
Wizcart may assign this Agreement. You may not assign without our prior written consent; any prohibited assignment is void.
If any provision is found unenforceable by a court or tribunal of competent jurisdiction, it will be modified to the minimum extent necessary to be enforceable, and the remainder will continue in full force and effect.
No waiver is implied by delay or omission. This Agreement (including incorporated policies) constitutes the entire agreement between you and Wizcart regarding the subject matter.
For Partners located in Canada (outside Quebec where prohibited): this Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws rules.
Arbitration. Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to the Agreement or the Platform shall be resolved by final and binding arbitration before a single arbitrator under the ADR Institute of Canada Arbitration Rules. The seat is the province where you primarily perform Services; hearings may proceed by video conference. Proceedings are individual, not class or representative. The arbitrator may award individual relief permitted by law. Except as required by law, the existence and content of the arbitration are confidential.
For Partners located in the U.S., this Agreement is governed by the laws of the State of Delaware, with arbitrability governed by the Federal Arbitration Act (FAA).
Agreement to Arbitrate & Class Waiver. To the fullest extent permitted by law, any and all disputes arising out of or relating to the Agreement or the Platform shall be resolved by binding individual arbitration administered by the AAA under its applicable rules. Class, collective, and representative actions are waived; the arbitrator may award relief only in favor of the individual party seeking relief. Issues concerning the scope or enforceability of the class waiver will be decided by a court of competent jurisdiction; all other gateway issues are for the arbitrator under the FAA.
Fees/Location. Filing and arbitrator fees will be allocated under the applicable AAA rules, subject to any mandatory consumer protections. Unless otherwise agreed, hearings occur remotely or in your county of residence.
Opt-Out. You may opt out of this arbitration provision within thirty (30) days of first accepting these Terms by sending a written opt-out notice with your name, account email, and statement of intent to opt out, to: Legal — Arbitration Opt-Out, Wizcart Technologies Inc., 8708 170 St, Surrey, British Columbia V4N 5K8, CA Email: legal@wizcart.com. Opting out does not affect other terms.
If arbitration is prohibited for you by applicable law (e.g., under the Civil Code of Quebec or the Act Respecting Labour Standards), the competent courts of your province or territory retain jurisdiction, and class-action waivers will apply only to the extent permitted by law.
Notwithstanding any provision of this Section, nothing in this Agreement shall be interpreted to limit or waive any non-waivable statutory rights of Service Partners under the Digital Platform Workers' Rights Act, 2022 (Ontario), the Employment Standards Act (British Columbia) as amended, the Civil Code of Quebec, or any other applicable provincial, territorial, or federal employment, labour, or consumer protection legislation. Where such legislation provides dispute resolution mechanisms or other mandatory protections, those mechanisms and protections shall prevail over this Agreement to the extent of any conflict.
If a change in applicable law (including the enactment, amendment, or new interpretation of any provincial, territorial, or federal statute, regulation, or order) materially affects the rights or obligations of either party under this Agreement, Wizcart may amend this Agreement in accordance with Section 23 to ensure ongoing compliance. Wizcart will use reasonable efforts to provide advance notice of such changes and will consult with partners through reasonable channels where practicable.
We may provide notices electronically (e.g., in-app, email) or by posting to the Platform. Legal notices to Wizcart:

Nothing in this Agreement is intended to limit any non-waivable statutory rights you may have under applicable consumer, employment, or labour laws in your jurisdiction. To the extent of any conflict between this Agreement and such laws, those mandatory rights control.
