This Team Member Self-Declaration and Compliance Attestation is issued by WIZCART TECHNOLOGIES INCORPORATED, a British Columbia corporation (corporation number BC1541387, incorporated 27 May 2025 under the BC Business Corporations Act) extra-provincially registered to carry on business in Alberta (Alberta corporate access number 2128144090) ("Wizcart", "we", "us", or "our"). Wizcart operates the Wizcart technology marketplace platform in Canada. Public legal notices, operational correspondence, and mailing communications may be sent to Wizcart at 903 8 Ave SW Office - 931, Calgary, AB T2P 0P7, Canada.
This Declaration is for Business Service Providers that add employees, assistants, subcontractors, helpers, apprentices, or other personnel ("Team Members") to a Wizcart account.
Wizcart provides Platform Services only. Wizcart does not provide, perform, deliver, supervise, control, manage, inspect, guarantee, or warrant the underlying services booked through the Platform ("Provider Services"). Provider Services are offered and performed solely by independent third-party Service Providers. Any agreement for Provider Services is between the User and the selected Service Provider, not Wizcart.
Service Providers are independent third-party businesses or individuals. They are not employees, agents, partners, franchisees, joint venturers, representatives, legal delegates, workers, staff, technicians, or contractors of Wizcart. Wizcart may suspend, restrict, delist, or terminate Platform access for breach of published terms or marketplace standards. Such action is a marketplace-access remedy and does not create an employment, agency, supervisory, or dependent-contractor relationship.
The undersigned authorized representative declares on behalf of the Business that the Business accepts full responsibility for screening, onboarding, supervising, compensating, training, insuring, licensing, and managing every Team Member it adds to its Wizcart account. Wizcart does not employ, hire, supervise, train, pay, or control Team Members.
A Team Member means any individual engaged by the Business in any capacity who may provide, assist in providing, or be present during Provider Services booked through the Platform, including employees, independent contractors, subcontractors, apprentices, helpers, drivers, or other personnel.
The Business must comply with the Alberta Personal Information Protection Act, the federal Personal Information Protection and Electronic Documents Act (PIPEDA), the British Columbia Personal Information Protection Act where applicable, and any other applicable privacy legislation.
Before collecting sensitive Team Member information for screening or verification, the Business must provide clear written notice of the information collected, purposes, recipients, consequences of refusal, access/correction rights, and retention.
The Business must obtain express, informed, written or checkbox consent from each Team Member before conducting background, identity, licence, work-eligibility, insurance, or other verification.
The Business must retain consent and verification records securely and only as long as reasonably necessary or legally required.
The Business must designate a privacy or compliance contact responsible for Team Member personal information.
The Business represents and warrants that, before any Team Member provides or assists with Provider Services, the Business has completed appropriate identity, background, and work-eligibility checks using a verification provider approved by Wizcart or reasonably equivalent in scope. The Business must adjudicate any adverse information lawfully, fairly, and consistently with human-rights law.
The Business must verify that each Team Member holds all current, valid, unrestricted licences, permits, registrations, certifications, and qualifications required for the Provider Services the Team Member will perform or assist with. The Business must monitor expiries and status changes and immediately remove any Team Member who no longer meets requirements.
For Phase 1 categories, the Business must verify compliance with Alberta personal-services health and safety requirements for Makeup and Hair work, and Alberta environmental, waste-disposal, and municipal requirements for Junk Removal work. Designated, hazardous, biomedical, asbestos, lead, radioactive, or otherwise regulated materials must not be handled unless the Business and Team Members hold all required legal authorizations and the Platform permits the booking category.
The Business must maintain commercial general liability (CGL) insurance with minimum coverage of CAD $2,000,000 per occurrence appropriate to its Provider Services and any professional liability, commercial auto, workers' compensation, bonding, or category-specific insurance required by law or by Wizcart's published requirements. The Business's CGL policy must be active, unmodified, and not doctored or altered in any way. The Business must ensure Team Members are covered for their activities and must provide current certificates of insurance upon request.
Wizcart strongly recommends that the Business name WIZCART TECHNOLOGIES INCORPORATED as Additional Insured on a primary and non-contributory basis on its CGL policy using the IBC 2100 endorsement form or an equivalent industry-accepted Canadian endorsement; this recommendation is in the Business's own interest because it improves the coordination of any claim arising from Provider Services. Whether or not Wizcart is named as Additional Insured, the Business remains primarily and solely liable for all claims, losses, damages, penalties, and expenses arising from Provider Services.
Where required by applicable law, including the Workers' Compensation Act (Alberta) and equivalent workers' compensation statutes in other Canadian provinces where the Business operates, the Business must register with the applicable workers' compensation authority (such as the Workers' Compensation Board of Alberta (WCB Alberta), WorkSafeBC, or the Workplace Safety and Insurance Board (Ontario)), maintain its workers' compensation account in good standing, and pay premiums as required by law. The Business must furnish a current clearance letter or equivalent proof of compliance on Wizcart's request as a condition of continued Platform access.
For claims arising from Provider Services, the Service Provider's own insurance is primary. Service Providers must maintain valid insurance appropriate to their service category, notify their insurer of incidents or claims, and cooperate with Users, Wizcart, insurers, regulators, and authorities. Wizcart does not provide insurance coverage for Service Provider mistakes, negligence, misconduct, damage, injury, licensing failure, or insurance gaps. Wizcart's insurance, if any, is subject to the terms, conditions, limits, exclusions, deductibles, and determinations of the applicable policy and insurer. Nothing in this document creates a promise that Wizcart will insure, defend, indemnify, or pay for claims arising from Provider Services.
The Business must notify Wizcart promptly, and no later than forty-eight (48) hours after becoming aware, of any Team Member criminal charge or conviction relevant to Provider Services, licence suspension or expiry, insurance lapse, privacy/security breach, serious customer complaint, safety incident, legal non-compliance, or other fact that affects eligibility to provide Provider Services through the Platform.
Before a subcontractor or third-party individual performs or assists with Provider Services, the Business must have a written agreement requiring that person to meet obligations equivalent to this Declaration. The Business remains fully liable for subcontractors, Team Members, and other personnel.
Wizcart may request documents reasonably necessary to assess Platform eligibility, safety, fraud prevention, or compliance. Wizcart's review is limited, may rely on information provided by the Business or third parties, and does not guarantee Team Member suitability, licensing, insurance, legal compliance, or service quality. Team Members and the Business remain solely responsible for maintaining all required licences, permits, certifications, registrations, insurance, tax accounts, qualifications, and legal compliance. Failure to cooperate with a reasonable document request may result in marketplace-access remedies, including suspension, restriction, delisting, payout hold, cancellation of future bookings, or termination of Platform access.
The Business shall defend, indemnify, and hold harmless Wizcart from claims, losses, liabilities, damages, penalties, assessments, fines, regulatory action, customer claims, insurance denial, and expenses, including reasonable legal fees, arising from or related to Team Members, subcontractors, the Business's failure to screen or verify personnel, privacy non-compliance, licence or insurance failures, tax failures, unsafe or unlawful Provider Services, submission of false or doctored documentation, property damage, personal injury, or breach of this Declaration. This indemnity does not require the Business to indemnify Wizcart for Wizcart's own gross negligence, willful misconduct, or fraud.
This Declaration is governed by the laws of Alberta and the federal laws of Canada applicable there, without limiting mandatory laws that apply in another province where Provider Services are performed. Any dispute-resolution clause in the applicable Service Provider Terms of Use applies, subject to non-waivable statutory rights and regulator complaint rights.
The authorized representative declares on behalf of the Business that the Business has read, understood, and agrees to this Declaration, and that all information provided is true, accurate, current, complete, and not misleading.
Wizcart captures the Business's acceptance of this Declaration through checkbox acceptance during Business Service Provider onboarding. By checking the applicable "I agree" or equivalent acceptance checkbox in the Platform, the authorized representative confirms on behalf of the Business that the Business has read this Declaration, that the Business understands it, and that the Business agrees to be bound by it. Wizcart records the following information on Wizcart's servers as evidence of acceptance:
the date and time the acceptance checkbox was checked;
the version of this Declaration accepted;
the IP address; and
the User-Agent (browser and device information).
Wizcart captures additional checkbox acceptance from the Business at the following moments during onboarding and ongoing Platform use:
when the Business submits identity documents, licences, insurance certificates, WCB Clearance Letter, or other documentation for Wizcart review, the authorized representative also self-declares by checking an acknowledgment checkbox that the documents are true, accurate, current, complete, and not doctored or altered;
when the Business sets up its financial profile (including Stripe Connect account or other payout method), the authorized representative checks an acknowledgment that the Business accepts the applicable payment and tax terms.

Provider Services booked through the Platform are performed by independent third-party Service Providers and are not performed by Wizcart Technologies LLC or Wizcart Technologies Incorporated.

Wizcart Technologies LLC controls the character and quality of the Platform Services provided under the WIZCART mark in Canada.
